Transactions that involve only Warner Bros. Discovery's linear television networks, news channels, or other non-studio, non-streaming assets, without also transferring control of its studios and streaming businesses, will not qualify. Resolution will be based on by a consensus of reporting.Paramount Skydance holds a strong lead in trader pricing because it signed a definitive $110.9 billion all-cash agreement to acquire Warner Bros. Discovery in February 2026, secured shareholder approval in April, and received U.S. Department of Justice clearance in June. The transaction now faces active antitrust litigation from twelve state attorneys general and the Writers Guild of America seeking to block it on competition grounds in film, television, and streaming. A federal trial is scheduled to conclude around April 2027, prompting the parties to extend the outside closing date to June 2027. Netflix exited the bidding war earlier in the year after declining to match Paramount’s offer, while Comcast has shown no active pursuit. These regulatory and litigation timelines explain the substantial probability assigned to no closing by the June 2027 deadline.
